EMEET STUDIO Terms of Use
Version: V2.0
Last Updated: October 23, 2026
Effective Date: October 23, 2026
PLEASE READ THESE TERMS, INCLUDING THE LIABILITY PROVISIONS IN SECTION 10 AND THE U.S. ARBITRATION AND CLASS-ACTION PROVISIONS IN SECTION 13. YOUR MANDATORY LEGAL RIGHTS ARE PRESERVED.
1. Agreement and Scope
These Terms are an agreement between you and EMEET INNOVATIONS (US) INC. ("EMEET", "we", "us" or "our") concerning EMEET STUDIO and related services (the "Services"). EMEET STUDIO includes its Windows, macOS, iOS and Android applications (the "App" or "Software").
These Terms apply when you accept them through the acceptance process presented in the App. If you do not agree, do not use the Services. If you use the Services on behalf of an organization, you represent that you have authority to act for it. The EMEET STUDIO Privacy Policy explains our personal-data practices in the App.
2. Eligibility and Accounts
The Services are intended for users aged 16 or older who have the legal capacity to enter into this agreement. If you are under 16 years old (or the relevant age in your jurisdiction where you are considered a minor), you may only use the Services with the consent and supervision of your parent or legal guardian. If applicable law requires a higher age or additional capacity requirements, those requirements apply.
Certain features require an account. You can register or sign in using email, Google or Apple, according to the options available in the App. Provide accurate information and keep account credentials confidential. Do not transfer or share your account or access another person's account without authorization.
Notify us at support@emeet.com if you suspect unauthorized access. You are responsible for misuse caused by your failure to protect your account or by conduct you authorize. This does not exclude responsibility that EMEET bears under applicable law, including for its own acts or omissions.
3. Functions and Availability
The Services provide camera and compatible-device management, image adjustments, beauty effects, local recording, live-streaming support and text-based AI script generation. Functions and supported devices depend on the installed version, operating system, device capability and region. We do not promise that every function is available on every device or platform.
Some functions need an internet connection, compatible hardware, device permissions or a third-party platform account. You are responsible for your connectivity and for reviewing settings before recording or broadcasting. Obtain permissions required for recording or broadcasting other people.
The current Services do not include an in-App payment or subscription function. If we introduce paid features, the applicable price and purchase terms will be presented before a purchase; these Terms do not authorize a charge or automatic renewal.
We may maintain or update the Services to fix faults, improve security or adapt to technical changes. We provide appropriate notice of material changes, restrictions or discontinuation where practicable and as required by law. Mandatory rights relating to digital products, updates and remedies remain unaffected.
4. License and Permitted Commercial Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable and non-sublicensable license to install and use the Software on devices you own or lawfully control, within its supported functions. This is a license to use the Software, not a transfer of its ownership.
You may use supported functions for personal purposes and lawful business or commercial purposes, including content creation, marketing recording and live streaming. This permission does not authorize resale, rental or sublicensing of the Software, operation of an unauthorized service using our interfaces, or extraction and independent resale of included assets.
You must not:
- copy, redistribute, resell or sublicense the Software except as expressly allowed;
- reverse engineer, decompile or disassemble it, except to the extent a restriction is prohibited by applicable law;
- circumvent technical protections, access controls, usage limits or safety systems;
- use automated calls or bulk accounts to abuse the Services;
- introduce malicious code, disrupt operation or gain unauthorized access;
- remove ownership notices or falsely suggest endorsement by EMEET;
- use the Services unlawfully or infringe another person's intellectual property, privacy or other rights.
5. User Content and Intellectual Property
You retain your rights in text, recordings and other material you provide or create, subject to the rights of other owners. You are responsible for having the rights and permissions needed for your inputs, recording, streaming and intended publication.
You authorize EMEET and providers acting to deliver the requested function to process your content only to the extent needed to provide that function, maintain its security and comply with applicable law, as described in the Privacy Policy. This authorization does not grant EMEET a right to use private recordings or AI prompts for publicity or unrelated advertising.
EMEET does not operate a public user-content hosting or social-sharing community under these Terms. Publishing to an independent streaming platform is governed by that platform's rules. You can report suspected infringement or misuse relating to our Services to support@emeet.com.
If you voluntarily send feedback about the Software, we may use your suggestions to improve it without an obligation to pay you. This does not transfer ownership of your unrelated content or override our privacy obligations.
6. AI Script Generation
The "Flash of Inspiration" feature generates text-based script ideas using Google's Gemini service through an API. It uses scene selections and text instructions, and is not an image, audio or video generation service under these Terms. AI processing is described in the Privacy Policy.
As between you and EMEET, you retain rights in your inputs and EMEET does not claim ownership of generated script outputs. You may use the outputs for personal and lawful commercial purposes, subject to applicable law and any relevant third-party rights. We do not guarantee that an output is copyrightable, exclusive or different from outputs generated for others.
AI OUTPUTS MAY BE INACCURATE, INCOMPLETE OR UNSUITABLE. REVIEW AND EDIT THEM BEFORE RELYING ON, PUBLISHING OR USING THEM. THE FEATURE PROVIDES CREATIVE ASSISTANCE, NOT PROFESSIONAL ADVICE.
Do not submit unnecessary personal or confidential information. Do not use the feature to generate unlawful or infringing content, impersonate others fraudulently, conduct scams, or evade safeguards. You are responsible for your inputs and your decisions to publish or use outputs, including applicable publisher disclosure or labeling duties. This does not remove duties imposed by law on EMEET as a provider.
AI availability may be affected by service-provider restrictions, regional availability, connectivity, usage limits or maintenance. We do not guarantee unrestricted or continuous access.
7. Beauty Effects and Third Party Functions
Beauty effects use the Volcengine Effects SDK to process images on your device. The purpose is to apply selected visual effects, not to identify you. Using beauty effects can change the appearance of recordings or streams; you should check the result before use. Processing details and relevant permission choices are described in the Privacy Policy.
The Services also use infrastructure and optional account or platform connections, including AWS hosting, Google or Apple sign-in, and the streaming destinations you select. Key feature integrations are described in the Privacy Policy, including AI script generation, beauty effects SDK and streaming platform authorizations; this is not a statement that no other organization processes data.
International data transfers. As a global company, personal data may be transferred to, or accessed by, our affiliated entities, authorized personnel, and service providers located in countries outside your region of residence. For transfers of personal data from the EEA or UK, we rely on appropriate safeguards such as the European Commission Standard Contractual Clauses (SCCs). More details are set out in the Privacy Policy.
External sign-in and streaming services are governed by their own applicable terms. We are not responsible for those providers' independent policies or for content you publish to them. Where we engage a provider to deliver part of EMEET's Services, this clause does not exclude EMEET's obligations or responsibility under applicable law.
8. Updates and Security
We may release software or firmware updates needed for security, compatibility or performance. Installation depends on the device and available controls. Some functions may require an update to operate safely or remain compatible. We provide information about necessary updates as required by applicable law.
A failure to install an available update may affect functionality. You are responsible for consequences attributable to your failure to install a necessary update after appropriate notice, to the extent permitted by law. This does not exclude our liability for our own faults or failure to meet mandatory update obligations.
Use authorized download channels and protect your device, account and stream keys. Do not bypass security mechanisms or misuse the Services.
9. Suspension and Termination
You may stop using the Services at any time. You can request account deletion through the deletion option in the App. After email verification and confirmation, a seven-day cooling-off period applies. Logging back into the App during that period cancels the request. Deletion and any permitted retention are governed by the Privacy Policy.
We may restrict or suspend a function, or terminate an account, where reasonably necessary because of a material breach, unlawful use, a security threat, a legal requirement or discontinuation of the relevant service. We use measures proportionate to the circumstances and give notice and an opportunity to resolve the issue where appropriate. Immediate action may be taken where necessary for security or legal compliance.
When the agreement ends, the license to use the Services ends. Termination does not affect rights or liabilities already accrued, your rights in content, or mandatory privacy and consumer rights. Data handling remains governed by the Privacy Policy; termination does not give us an unrestricted right to retain your data. Local files and material already sent to independent platforms are not automatically removed by account deletion.
Provisions concerning intellectual property, accrued liabilities, dispute resolution and other matters that by their nature should continue survive termination only to that extent.
10. Warranties and Liability
Nothing in these Terms excludes or limits a warranty, consumer guarantee, remedy or liability that cannot lawfully be excluded or limited. This includes mandatory rights relating to service conformity, updates, personal injury, fraud and other protected matters where applicable.
Subject to that protection, the Services are provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free operation, suitability for every device or use, or the accuracy or originality of AI output. To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.
TO THE EXTENT PERMITTED BY APPLICABLE LAW, EMEET WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL LOSSES, INCLUDING LOST PROFITS OR BUSINESS INTERRUPTION, ARISING FROM THE SERVICES. TO THE SAME EXTENT, OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THESE TERMS OR THE SERVICES WILL NOT EXCEED US$100.
These exclusions and the monetary cap do not apply to liability for fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or other liability that cannot be excluded or limited. The labels "indirect" or "consequential" do not exclude a loss for which mandatory law requires a remedy. If a limitation is not permitted, the applicable legal rule governs that liability.
For consumers in the EEA, UK, Australia, Canada and other jurisdictions, applicable mandatory consumer rights remain available. Australian Consumer Law guarantees are not restricted to resupply by this clause.
11. User Responsibility for Third Party Claims
To the extent permitted by applicable law, you are responsible for reasonable losses and costs EMEET incurs from a third-party claim directly caused by your unlawful use, infringement of third-party rights or material breach of these Terms. This does not cover losses caused by EMEET's own breach, negligence or other conduct for which it is responsible.
EMEET will give reasonable notice of such a claim and take reasonable steps to mitigate loss. You must reasonably cooperate with its defense. A settlement imposing an admission, payment or other obligation on you requires your consent, which must not be unreasonably withheld. For consumers, responsibility is limited to the extent allowed by mandatory consumer law.
12. Events Outside Reasonable Control and Trade Compliance
We are not responsible for a failure attributable to events beyond our reasonable control to the extent applicable law permits that relief. We take reasonable steps to reduce disruption and resume performance. Ordinary operational faults or a provider failure are not automatically treated as force majeure, and this clause does not remove mandatory remedies.
Use the Services in compliance with applicable export-control and sanctions requirements. Do not make them available to prohibited parties or destinations where applicable law prohibits it, or use them for prohibited purposes. Restrictions apply according to the actual relevant law; these Terms do not impose a blanket prohibition based only on nationality.
13. Governing Law and Disputes
13.1 Informal Resolution
Contact support@emeet.com to seek an informal resolution. Either party may provide a written description of the dispute and requested remedy. We and you will try in good faith to resolve it within 30 days. This process does not prevent urgent relief, small-claims proceedings or exercise of rights that applicable law does not allow us to delay. Applicable limitation periods will be tolled during this agreed negotiation period to the extent permitted by law.
13.2 U.S. Arbitration
THIS SECTION APPLIES ONLY TO USERS RESIDING IN THE UNITED STATES, TO THE EXTENT ENFORCEABLE UNDER APPLICABLE LAW.
Except for an individual claim eligible for small-claims court, or a claim requiring a court remedy that cannot lawfully be waived, unresolved disputes arising from these Terms or the Services will be resolved by individual binding arbitration administered by the American Arbitration Association (AAA) under its applicable Consumer Arbitration Rules. The Federal Arbitration Act governs this arbitration agreement.
The legal seat is King County, Washington. Hearings may be conducted remotely or at a reasonably convenient location in accordance with AAA rules, rather than requiring you to travel to Washington. Filing costs, administration costs and arbitrator compensation are allocated under the applicable AAA rules and mandatory law; this provision does not require a consumer to bear business fees contrary to those rules. The arbitrator may award available individual remedies, and a court with jurisdiction may enter judgment on the award.
Either party may seek temporary relief from a court where necessary to preserve rights pending arbitration. This does not eliminate the obligation to arbitrate other eligible disputes.
13.3 U.S. Class Action Waiver
WHERE LAWFULLY ENFORCEABLE, YOU AND EMEET AGREE TO BRING CLAIMS ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS PLAINTIFF OR CLASS MEMBER. INDIVIDUAL ARBITRATION REPLACES A COURT OR JURY TRIAL FOR CLAIMS SUBJECT TO IT.
This does not waive a right or remedy that cannot lawfully be waived, including a protected right to seek public injunctive relief. If this waiver is unenforceable for a particular claim or remedy, that part proceeds in the competent court and the remaining enforceable arbitration provision continues to apply.
13.4 Choice of Law and Non-U.S. Users
Washington State law governs these Terms, excluding its conflict-of-law rules, subject to the Federal Arbitration Act and applicable mandatory law. That choice does not deprive you of mandatory protections under the law applicable to you.
Sections 13.2 and 13.3 do not impose arbitration or a class-action waiver on non-U.S. users. For disputes not subject to enforceable arbitration, the competent courts under applicable law have jurisdiction. EEA and UK consumers retain applicable rights to bring proceedings in their home courts. Mandatory provincial rights in Canada and mandatory rights in other jurisdictions are preserved; these Terms do not select British Columbia law for every Canadian user.
14. Changes to These Terms
We may revise these Terms to reflect changes in law or the Services. We publish the current version in the App and on the relevant policy page. We give appropriate advance notice of changes materially affecting your rights and seek renewed acceptance where required by law. Changes do not retroactively remove accrued claims or mandatory rights.
If you do not accept a change, you may stop using the Services and request account deletion. Continued use is treated as acceptance only where permitted by applicable law and after the relevant notice or acceptance process. These Terms do not include a special German rule allowing immediate termination merely because you object to a change.
15. General Provisions
If part of these Terms is unenforceable, the remaining provisions continue to apply to the extent permitted by law. A failure to enforce a term does not waive future enforcement.
We may transfer this agreement in connection with a restructuring or transfer of the Services, subject to applicable law, notice requirements and protection of your rights. You may not transfer the Software license or account except with our permission or where applicable law requires otherwise.
These Terms and applicable function-specific terms constitute the agreement concerning the Services. The Privacy Policy describes personal-data handling and does not grant additional content-use rights or waive privacy rights.
