Effective Date: October 23, 2026

PLEASE READ THESE TERMS CAREFULLY, INCLUDING THE DISCLAIMERS AND LIMITATION OF LIABILITY PROVISIONS IN SECTIONS 8 AND 9, AND THE U.S. ARBITRATION AND CLASS-ACTION PROVISIONS IN SECTION 12. YOUR MANDATORY LEGAL RIGHTS ARE PRESERVED.

1. Agreement and Scope

These Terms of Use ("Terms") are an agreement between you and EMEET INNOVATIONS (US) INC. ("EMEET", "we", "us" or "our") concerning your access to and use of the emeet.com website and the products, services, and content offered through it (collectively, the "Services").

Our online store is hosted on Shopify Inc., which provides the e-commerce platform that allows us to sell our products and services to you.

By accessing or using our Services, placing an order, or creating an account, you agree to be bound by these Terms. If you do not agree to all of these Terms, you may not access or use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

About our software products. These Terms apply to our website and e-commerce services. Our software products, such as EMEET STUDIO, have their own dedicated terms of use that apply when you use those products. Please refer to the terms presented within the specific product for details.

2. Eligibility and Accounts

You must be at least the age of majority in your state or province of residence to use our Services. If you are under 18 (or the relevant age of majority in your jurisdiction), you may use the Services only with the consent and supervision of your parent or legal guardian.

Certain features require an account. When you create an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your account credentials confidential and not share them with others
  • Notify us immediately of any unauthorized use of your account
  • Be responsible for all activities that occur under your account

We reserve the right to refuse service, terminate accounts, or cancel orders in our sole discretion.

3. Products, Orders, and Pricing

3.1 Product Descriptions

We make reasonable efforts to display product descriptions, images, and pricing as accurately as possible. However, we do not guarantee that product descriptions, images, or other content on the Site are accurate, complete, reliable, current, or error-free. Colors and images may vary depending on your display.

3.2 Orders

When you place an order, you are making an offer to purchase the products or services in your order. We reserve the right to accept or decline your order for any reason, including but not limited to:

  • Product availability
  • Pricing or description errors
  • Suspected fraudulent or unauthorized activity
  • Limitations on quantities per person, per household, or per order

After you place an order, we will send you an order confirmation email. Receipt of an order confirmation does not constitute our acceptance of your order. We may require additional verification or information before accepting any order.

3.3 Pricing and Payment

Prices for our products are subject to change without notice. All prices are listed in US dollars unless otherwise indicated.

We accept payment through the methods displayed at checkout. Payment information is processed by our payment service providers. We do not store full credit card numbers on our systems.

You are responsible for providing accurate billing and payment information. If payment is not successfully processed or your payment method declines, we may cancel your order or suspend your access to the Services.

3.4 Shipping and Delivery

Shipping costs and estimated delivery times are displayed at checkout and vary based on your location and the shipping method selected. Delivery times are estimates and not guaranteed.

Risk of loss and title for products pass to you upon delivery to the shipping carrier. You are responsible for providing an accurate shipping address. We are not responsible for delays or issues caused by the shipping carrier or incorrect delivery information.

3.5 Returns and Refunds

Our return and refund policy applies to purchases made through the Site. Please review our relevant policies before making a purchase.

4. Use of the Site and Services

4.1 Permitted Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and non-sublicensable license to access and use the Site and Services for your personal, non-commercial use, or for lawful business purposes related to purchasing and using EMEET products.

4.2 Prohibited Uses

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable law
  • Violate or infringe upon the intellectual property, privacy, or other rights of EMEET or any third party
  • Submit false, misleading, or fraudulent information
  • Interfere with or disrupt the security, functionality, or performance of the Services
  • Attempt to gain unauthorized access to our systems, networks, or user accounts
  • Use any robot, spider, scraper, or other automated means to access or use the Services

  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without our express written permission
  • Harass, abuse, threaten, or discriminate against any person
  • Collect or harvest personal information of other users without their consent

4.3 User Content

If you submit reviews, comments, feedback, suggestions, or other content to our Site or Services ("User Content"), you retain ownership of your content. However, by submitting User Content, you grant EMEET a worldwide, non-exclusive, royalty-free, perpetual, and sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with operating and promoting our Services.

You represent and warrant that:

  • You own or have the necessary rights to your User Content
  • Your User Content does not violate these Terms or any applicable law
  • Your User Content does not infringe upon the rights of any third party

We reserve the right, but are not obligated, to monitor, review, edit, or remove User Content that we determine violates these Terms or is otherwise objectionable.

5. Intellectual Property

The Site and Services, including all content, text, images, logos, trademarks, product designs, software, and other materials, are owned by EMEET or its licensors and are protected by copyright, trademark, and other intellectual property laws.

Nothing in these Terms grants you any right, title, or interest in or to our intellectual property. You may not use our trademarks, logos, or trade dress without our prior written permission.

6. Third-Party Links and Services

Our Site may contain links to third-party websites, products, or services that are not owned or controlled by EMEET. We are not responsible for the content, privacy practices, or terms of any third-party sites or services. Your interactions with third parties are governed by their respective terms and policies.

We also use third-party tools and services to operate our business, including Shopify for our e-commerce platform, payment processors, shipping providers, and analytics tools. While we select these providers carefully, we are not responsible for their independent acts or omissions.

7. Marketing Communications

Where permitted by applicable law and with your consent where required, we may send you marketing communications about EMEET products, promotions, and news.

You can opt out of marketing emails at any time by following the unsubscribe link in any marketing email or by contacting us at support@emeet.com. Opting out of marketing does not affect our ability to send you transactional or service-related communications, such as order confirmations or support responses.

8. Disclaimers

8.1 As Is Basis

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. EMEET DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not guarantee that:

  • The Services will be uninterrupted, secure, or error-free
  • Defects will be corrected
  • The Services are free of viruses or other harmful components
  • The results of using the Services will meet your expectations

8.2 Product Warranty

Physical products sold through the Site may be covered by a manufacturer's warranty, the terms of which are set out in our relevant policies and available on the product page or upon request. To the extent applicable, such manufacturer's warranty is separate from these Terms.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL EMEET, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE SAME EXTENT, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE PRODUCTS OR SERVICES GIVING RISE TO THE CLAIM IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) US$100.

These limitations do not apply to:

  • Liability for death or personal injury caused by our negligence
  • Liability for fraud or fraudulent misrepresentation
  • Liability that cannot be excluded or limited under applicable law

If any limitation of liability is not permitted by applicable law, that limitation will not apply to you, and the applicable legal rule will govern.

10. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless EMEET and its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your breach of these Terms
  • Your use of the Services in violation of applicable law
  • Your User Content or any content you submit or transmit through the Services
  • Your violation of any third-party right, including intellectual property, privacy, or other rights

We will provide you with prompt notice of any such claim and take reasonable steps to mitigate damages. We reserve the right to assume the exclusive defense of any matter subject to indemnification by you, in which case you will cooperate with our defense.

11. Termination

We may terminate or suspend your access to the Services at any time, in our sole discretion, for conduct that we believe violates these Terms, is harmful to other users or EMEET, or is otherwise unlawful.

You may stop using the Services at any time. Termination does not affect rights or obligations that accrued before termination, including payment obligations for orders already placed. Provisions that by their nature should survive termination will survive, including but not limited to intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution.

12. Governing Law and Dispute Resolution

12.1 Informal Resolution

Before filing a formal dispute, please contact us at support@emeet.com to seek an informal resolution. We will try in good faith to resolve the issue within 30 days. This process does not prevent you from seeking urgent relief or exercising rights that applicable law does not allow us to delay.

12.2 Governing Law

These Terms are governed by the laws of the State of Washington, United States, excluding its conflict-of-law rules, except to the extent that mandatory consumer protection laws of your jurisdiction apply. This choice of law does not deprive you of mandatory protections under the law applicable to you.

12.3 U.S. Arbitration and Class Action Waiver

THIS SECTION APPLIES ONLY TO USERS RESIDING IN THE UNITED STATES, TO THE EXTENT ENFORCEABLE UNDER APPLICABLE LAW.

Except for an individual claim eligible for small-claims court, or a claim requiring a court remedy that cannot lawfully be waived, unresolved disputes arising from these Terms or the Services will be resolved by individual binding arbitration administered by the American Arbitration Association (AAA) under its applicable Consumer Arbitration Rules. The Federal Arbitration Act governs this arbitration agreement.

The legal seat is King County, Washington. Hearings may be conducted remotely or at a reasonably convenient location in accordance with AAA rules. Filing costs, administration costs, and arbitrator compensation are allocated under the applicable AAA rules and mandatory law. The arbitrator may award available individual remedies, and a court with jurisdiction may enter judgment on the award.

WHERE LAWFULLY ENFORCEABLE, YOU AND EMEET AGREE TO BRING CLAIMS ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS PLAINTIFF OR CLASS MEMBER. INDIVIDUAL ARBITRATION REPLACES A COURT OR JURY TRIAL FOR CLAIMS SUBJECT TO IT.

This does not waive a right or remedy that cannot lawfully be waived. If this waiver is unenforceable for a particular claim or remedy, that part proceeds in the competent court and the remaining enforceable arbitration provision continues to apply.

12.4 Non-U.S. Users

Section 12.3 does not impose arbitration or a class-action waiver on non-U.S. users. For disputes not subject to enforceable arbitration, the competent courts under applicable law have jurisdiction. EEA and UK consumers retain applicable rights to bring proceedings in their home courts.

13. Changes to These Terms

We may update these Terms from time to time to reflect changes in law, our practices, or the Services. We will post the current version on the Site and update the "Last Updated" date above. For material changes, we will provide appropriate advance notice where required by law.

Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms, to the extent permitted by applicable law. If you do not agree to the updated Terms, you should stop using the Services.

14. General Provisions

14.1 Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be deemed severable and will not affect the validity and enforceability of the remaining provisions.

14.2 Waiver

No failure by EMEET to exercise or enforce any right or provision of these Terms will constitute a waiver of that right or provision.

14.3 Assignment

We may assign these Terms, in whole or in part, in connection with a merger, acquisition, reorganization, or sale of assets, subject to applicable law. You may not assign these Terms without our prior written consent.

14.4 Entire Agreement

These Terms, together with our Privacy Policy and other relevant policies, constitute the entire agreement between you and EMEET regarding the Services and supersede all prior or contemporaneous agreements and understandings.
