EMEET STUDIO User Agreement

Welcome to use EMEET STUDIO (hereinafter referred to as "this software"). This User Agreement (hereinafter referred to as "this Agreement") is a legal agreement between you, the user (hereinafter referred to as "you"), and Shenzhen eMeet Technology Co., Ltd. (hereinafter referred to as "EMEET", "we", and "our"). This Agreement applies to the mobile application software launched by EMEET in the Chinese mainland, Hong Kong Special Administrative Region, Macao Special Administrative Region, Taiwan region of China, the United States, Japan, the European Union, the United Kingdom, Canada, Australia, the United Arab Emirates, Singapore, Brazil, Russia, South Korea, Mexico, Israel and other countries or regions (collectively referred to as "this service" or "this software"), including links pointing to this Agreement.

EMEET hereby particularly reminds you to carefully read and fully understand all the terms in this Agreement, including the exemption clauses that exempt or limit EMEET's liability and the clauses that restrict the rights of users. Please read this Agreement carefully and choose whether to accept or not accept it (minors should read it under the accompaniment of their legal guardians). You have no right to use the relevant services covered by this Agreement unless you accept all the terms of this Agreement. Your use of the service will be deemed as acceptance of this Agreement, and you agree to be bound by all the terms of this Agreement.

Your acceptance of this Agreement means that you voluntarily accept the binding of all the terms, including accepting any modifications made by EMEET to any service terms at any time. This Agreement can be updated by EMEET at any time. Once the updated agreement terms are announced, they will replace the original agreement terms. Users can view the latest version of the agreement terms in this application. After EMEET modifies the relevant terms of this Agreement, if you do not accept the modified terms, please immediately stop using the services provided by EMEET. Continuing to use the services provided by EMEET will be deemed as acceptance of the modified agreement.

1. Scope of Software License

EMEET grants you a personal, limited, non - transferable, and non - exclusive license to use this software on your personal mobile phone, and you have no right to sublicense.

You shall not install, use, or execute this software for commercial purposes. You may install, use, display, and execute this software for non - commercial purposes on a single mobile terminal device. You shall not copy, modify, or bypass any data of this software, any data sent to the memory of any terminal device during the execution of this software, and any interactive data generated between the client and the server during the execution of this software, or use plugins to execute this software, or create any derivative works in any form (including but not limited to plugins), or access the software and related systems through unauthorized third - party tools or services.

2. Installation and Update of the Software

EMEET will from time to time develop patches, bug fixes, updates, upgrades, and other modification programs to improve the performance of this software and related services (collectively referred to as "updates"). Such updates may be installed on platforms such as the App Store, Google Play, or other platforms. The system will display additional notifications to you. If you have connected the product to the Internet, the system will seek your consent in advance. You are aware that it may be necessary to install updates to ensure the normal operation of this product and its software and to access all updated functions of this product software. After the release of a new version of the software, EMEET does not guarantee that the old version of the software can still be used.

3. Protection of User Personal Information

We are committed to protecting your personal information together with you.

During the process of your use of this software service, you may need to provide your personal information so that we can provide you with better services and corresponding technical support. We will collect and use your personal information in strict accordance with the provisions of the privacy agreement. For more specific content, please refer to the privacy policy.

4. Content Related to Third Parties

This Agreement supplements and incorporates the terms and conditions of the websites where users download the application (including but not limited to Apple Inc., Google Play, and Android Market). EMEET grants you a non - transferable limited license, subject to the permission and restrictions of the terms and conditions of third parties such as Apple Inc., Google Play, and Android Market. If there is a conflict between such third - party terms and conditions and this Agreement, this Agreement shall prevail only within the scope related to this software.

5. Intellectual Property Statement

The intellectual property rights of all the content provided in this service (including but not limited to software, technology, programs, web pages, text, pictures, images, trademarks, audio, video, charts, layout designs, electronic documents, etc.) belong to EMEET. The copyright, patent rights, and other intellectual property rights of the software on which we rely to provide this software and related services also belong to EMEET. EMEET provides technical support for the development and operation of this software and enjoys all rights within the scope permitted by all applicable laws for all data and information generated during the development and operation of this software service. Without the permission of EMEET, no one shall use (including but not limited to monitoring, copying, disseminating, displaying, mirroring, uploading, downloading through any program or device) the content in this software and related services without authorization.

6. User Conduct Norms

You shall be responsible for your actions when using EMEET STUDIO software and related services. Unless permitted by law or with our prior written permission, when using EMEET STUDIO software and related services, you shall not engage in the following behaviors:

  • You shall not license, sell, lease, transfer, distribute, or use this service for any other commercial purposes in any form.
  • You shall not access this application or use EMEET products, programs, and services for the purpose of creating the same or competing services.
  • Unless expressly provided by law, you shall not copy, distribute, re - publish, download, display, post, modify, translate, merge, utilize, decompile, or reverse - compile any part of this application in any form or by any means.
  • You have agreed that during the use process, you will bear all legal responsibilities arising from the risks caused by the following behaviors:

    • Behaviors that undermine the basic principles established by the Constitution; endanger national security, disclose state secrets, subvert state power, and undermine national unity.
    • Behaviors that damage national honor and interests.
    • Behaviors that incite ethnic hatred, ethnic discrimination, and undermine national unity.
    • Behaviors that undermine national religious policies, promote cults and feudal superstitions.
    • Behaviors that spread rumors, disrupt social order, and undermine social stability.
    • Behaviors that spread pornographic, vulgar, gambling - related, violent, homicidal, terrorist, or crime - instigating content; insult or slander others and infringe upon the legitimate rights and interests of others.
    • Behaviors that contain other content prohibited by laws, regulations, and administrative rules.
  • You have agreed not to engage in the following behaviors in this application:

    • Upload or publish computer viruses, worms, malicious code, or software that deliberately damages or changes computer systems or data.
    • Collect the information or data of other users, such as email addresses, without authorization.
    • Disable the network connection of this application, impose an excessive burden on this application, or otherwise interfere with or damage the application server and network connection.
    • Try to access this application, server, or the network connection of this application without authorization.
    • Interfere with or disrupt the normal use of this application by other users.

7. Disclaimer of Liability

You must bear legal responsibility for your actions during the use of this software. The forms of legal responsibility borne by users include but are not limited to compensating the injured parties. After EMEET has assumed administrative penalties or liability for infringement/breach of contract caused by the user's behavior, the user shall compensate EMEET for all losses suffered thereby, including but not limited to administrative penalties borne by EMEET, liability to third parties, and attorney fees, litigation fees, travel expenses, etc. paid thereby. If a user violates legal provisions or the terms of this Agreement, EMEET has the right to immediately suspend or terminate the provision of some or all services to the user.

You understand that if EMEET discovers that the information you publish is clearly illegal, in accordance with the current relevant laws of the country or region where you are located, EMEET is obliged to immediately stop the transmission, keep relevant records, report to the relevant national authorities, and delete the address, directory containing such content, or shut down the server.

8. Duration and Termination

The license granted to you by this Agreement shall take effect from the date of your first use of this software and remain in effect during the period when you own this software. If you fail to comply with any of the terms of this Agreement, EMEET may terminate this Agreement at any time. You may terminate this Agreement immediately after notifying EMEET in writing. After the termination of this Agreement, the license granted thereunder shall also terminate, and you must stop all use of this software.

9. Jurisdiction and Governing Law

The formation, effectiveness, performance, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the mainland region of the People's Republic of China (without considering conflicts of laws).

The place of execution of this Agreement is Guangming District, Shenzhen City, Guangdong Province, the People's Republic of China.

If any disputes or controversies arise between you and EMEET, they shall first be resolved through friendly consultations. If the consultations fail, you agree to submit the disputes or controversies to the people's court with jurisdiction in the place of execution of this Agreement.

10. Miscellaneous

Regardless of the reason, if any part of the terms of this Agreement is invalid or unenforceable, the remaining terms shall still be valid and binding on both parties.

If this Agreement has multiple language versions such as Chinese and English, in case of any differences in understanding of the corresponding content, the Chinese - expressed content shall prevail.

You and we are independent entities. Under no circumstances does this Agreement constitute any form of express or implied guarantee or condition by us to you, nor does it create an agency, partnership, joint - venture, or employment relationship between the two parties.
